Terms & Conditions
Please read our license terms and conditions, and also make any other members of your team aware of them. By signing a contract, you agree to everything set out here, so please ask if you have any questions for us.
1. License Inclusions This agreement is for the provision of serviced office space, including:
- Use of fixed, hot desk(s) or studio (depending on membership type), and chair(s)
- Use of communal spaces including kitchens, WCs etc
- Use of wireless broadband network
- Use of meeting rooms & printing facilities*
- Membership includes a meeting room allowance of 1hr (Part-Time Hot Desks) 2hrs (Full Time Hot Desks), 3hrs (Fixed Desks), and 3hrs (per Studio Desk), as well as up to 200 sheets of printing. All per desk per month. Please note allowances may be changed from time to time at our discretion.
Guests Other than those attending meetings, guests will not officially be permitted. However, we will still do our best to accommodate guests whenever possible, subject to availability of space, and provided they are one-off visits. Please ask in advance if you plan to invite a guest to the space.
2. License Details
Deposits
All deposits are payable at the point a contract is signed. On leaving Market, the deposit will be returned within 30 days, subject to reasonable deductions due to any non-performance or non-observance of the terms of this agreement.
Payments
All rental fees are payable in advance each month by direct debit or other automated payment method. Any additional costs for extra services provided will be payable in arrears at the end of each month. Payment methods and processes will be explained by us as part of the induction process, and updated from time to time as necessary.
Non-payment
Failure to pay any due fees within 10 working days of written notification will result in access to Market being denied, and possible termination of membership.
License term
Unless otherwise stated, licenses are on rolling monthly terms.
Termination
Unless stated, a minimum of 1 months’ notice must be given for termination of your license for hot desks and fixed desks, and 2 months for studios. Notice should be given in writing by email to a member of Market’s management.
Market may terminate this license agreement with 5 days’ written notice if, in our opinion, you materially breach the agreement.
Market may also terminate this agreement without reason with 30 days’ written notice.
Departure process
On departure, all keys and fobs must be returned and a brief inspection will be made of your studio/desk, chair and any other furniture used. After signing out, removing all belongings and returning all keys and key fobs, deposits will be refunded as set out above. Lost keys or fobs will result in a deduction from your deposit of £15(+vat) per key or fob. Please remove all belongings from communal areas (including kitchen cupboards and fridges)
3. Your Rights & Obligations By signing this agreement, you and all members of your company agree to: Occupation
- To occupy the designated desk(s) or studio(s) and ancillary spaces solely for the purposes of your business
- Not to do anything which would cause unreasonable noise, nuisance or disturbance to Market or any of its customers
- To accept full responsibility for the management and supervision of your business activities
- Comply with all reasonable rules or regulations set by Market from time to time
- Not to make any alterations to or remove furniture provided under this license
- Not to install any equipment, including telecommunications equipment and printing or photocopying equipment without prior written approval from Market
- Not to conduct any hazardous or illegal activities in the space
- Not to bring any pets into the space
- Not to bring any additional furniture into the space without prior written approval from Market, which may be withheld at our discretion Insurance & Indemnity
- To maintain suitable public liability and contents insurance to cover your possessions and activities within Market. Note Market’s insurance does not cover or include loss, damage or theft of members’ possessions, and we will take no liability for any such occurrences.
- To indemnify and keep Market indemnified against all claims or liabilities resulting from any breach you or your visitors make to this agreement, or any of your activities in the space. Note that this does not exclude Market’s liability for death or injury arising directly from its own negligence. Access & Security
- Only to access Market during designated opening hours
- To follow all procedures set out for secure access
- To take full responsibility for actions of any guests you admit to the space.
- To notify Market immediately of any suspicious activity within the space.
- Not to duplicate any keys or fobs issued by Market unless by prior written consent. Costs for replacement of lost keys or fobs will be payable by you.
- To suitably protect yourself and any others in your business from the impact of computer viruses, malware and malicious software. Miscellaneous
- Not to use meeting rooms unless pre-booked using the procedures set out by Market.
- Not to bring any fans, heaters or other appliances into Market unless by prior agreement.
- To ensure any electrical equipment to be used in Market is PAT tested.
- To report any damage caused, or maintenance issues noticed immediately.
- Not to transfer or assign this agreement or rights conferred in it to other parties.
- To take reasonable measures to keep the space clean and tidy at all times, including clearing all glasses, mugs and crockery into the dishwashers after use, removing out of date food from the kitchens, and only placing personal possessions in designated areas.
- Not to use iPlayer, or any other services requiring a TV License.
- To be considerate when making phone calls, particularly louder or longer calls which are encouraged to be taken away from desks where possible.
4. Market’s Obligations & Rights Under this agreement, Market will follow the following obligations:
- To provide, clean and maintain the workspace, associated services and facilities.
- To provide heating and lighting, and pay all reasonable rents, rates, utilities, insurance and other charges relating to the premises.
- To allow access to the workspace during designated opening hours. Please note the space will be not be actively managed outside of normal office hours, so any issues other than emergencies will be dealt with during those hours only.
- To take reasonable measures to protect, and not to misuse any personal data held or processed, including payment details. Market retains the following rights in relation to the space and this agreement:
- To relocate people and businesses to alternate desks or studios within the space provided reasonable notice is given to those being moved.
- To change pricing from time to time provided reasonable written notice is provided.
- To set and enforce additional rules from time to time as deemed appropriate to ensure the smooth and efficient operation of the space.
- To levy reasonable charges for bulk printing at our discretion. These will be charged to cover our costs in the event that anyone is doing substantial amounts of printing and/or copying.
- To collect personal data (eg name, contact details) for purposes related to the running of the space and processing of payments. This data may at our discretion be shared with third parties who act on Market’s behalf (eg IT consultants, payment portals), but again only for purposes related to the running of the space.
5. Internet access
- Market Peckham provides access to common Local Area Network (LAN) and shared internet connection for all tenants, through WIFI connections in the main workspace and private offices. A limited bandwidth 4G backup connection exists should the main line drop.
- Internet is provided to tenants on a fair usage basis and Market may undertake action if it is felt that any tenant is abusing the internet connection in an unreasonable way as determined by Market.
- The WiFI network name and password must not be shared with any other party. These credentials may be changed by Market at any time, and will be passed to tenants immediately.
- Load balancing systems are in place to share the available bandwidth equally amongst the number of concurrent users. Network performance is therefore subject to the amount and type of activity being undertaken by Market tenants at any point in time and fluctuations in speed should be expected.
- Tenants must not, in any case, use the internet connection for any illegal activity or activity that might be deemed offensive, such as the visiting of pornographic or extremist websites.
- Market reserve the right to: o Adjust the available bandwidth based on their assessment of what is required to serve the building and its tenants; o Cap any tenant’s usage if Market feel the principle of fair usage has been violated; o Block any tenant’s usage if illegal or offensive activity is suspected; o Monitor traffic to ensure no illegal or potentially offensive activity is being undertaken using the connection; o Undertake occasional maintenance to the network which might result in temporary downtime of services
- Market will aim to maintain availability of the internet connection at all times and when disruption occurs will work with their suppliers to re-enable services as quickly as possible. Planned maintenance will be communicated to tenants in good time whenever possible.
- Market do not take any responsibility for any devices which connect to the Market network, activity undertaken by tenants or the possibility of cyber-attacks. Tenants are expected to take full responsibility for their own cyber security and should be aware of their responsibility to other tenants with whom they share their network.
- Market do not take responsibility for the success of otherwise of any tenant’s connection to the WiFi. Market will take all necessary steps to ensure that the WiFi system remains operational and that the internet remains available. The tenant is responsible for their own computer and other network devices, for configuring access to the WiFi and ensuring they have the correct software and drivers installed. Market will not assist with the support of end user devices.
6. IT Equipment, VLANs and Private IP’s
- If you have a server, NAS, or other Network Storage device and wish to make this available on the Market Network, you must speak to Market Management, who will discuss this with their own IT support. DO NOT connect these devices to the network without approval.
- If you have your own IT support who need to be consulted about the installation of your equipment on the Market network, please provide us with their contact details.
- If you require a specific network range, your own VLAN, external public IP, or any have any other special requests, you will need to make these known to Market. You or your IT company will need to document your requests clearly for Market’s IT consultant. In the case of Public IP addresses, you will need to justify why you require one, and whether other methods such as Network Address Translation (NAT) could not be used instead.
7. Printers
- Market provide access for all tenants to printing facilities and provide an A4/A3 printer on each floor to enable this service.
- Market will aim to ensure the continued availability of this service and will undertake all necessary monitoring and maintenance.
- Tenants may need to use a printer on a different floor on occasion, if the closest printer is experiencing problems or is undergoing maintenance.
- Each tenant has an allowance of 200 number prints per month. Should any tenant require additional prints then please contact us.
- Market will provide instructions for printer usage at the outset of any tenancy and will ensure continued availability of printing services and in doing so will fulfil their obligation to provide printing services.
- Market do not take responsibility for the success or otherwise of any tenant to connect to the printer or to print successfully. The tenant is expected to properly configure their own computer and ensure correct drivers are installed to enable successful printing. Market will not assist with the support of end user devices.
- Please do not attempt to access the printer management interface.
8. Cyber Security & Antivirus Tenants are responsible for their own cyber security. Be aware you are sharing a network with many other users and ensure you adhere to best practice to keep your own and other tenant’s accounts and data secure and maintain network availability. We list some basic best practice guidance below in relation to the Market premises and tenant computers. o Do not provide the Market WiFi password to anyone; o Do not plug any devices into building network ports without formal agreement from Market; o Do not attempt to access communication cabinets; o Ensure your devices are password protected; o Ensure your devices are protected by up to date antivirus software; o Use multi-factor authentication for your critical services; o Lock your screen when you leave your computer unattended; o Don’t write down passwords or leave confidential printed data on your desks; o Encrypt your hard drives; o Lock up your valuable equipment or take it home with you when you leave the premises; o Look out for your fellow tenants: question any unexpected people in the building or suspicious activity. Report immediately to Market if you have concerns.
9. Additional Terms
- Market accepts no liability for any loss or damage sustained as a result of fire, storm, flood, destruction of the premises, the failure or interruption of any services, or any other cause out of Market’s reasonable control.
- Market will not be held liable to any loss of profits, production, goodwill or reputation, or loss of or corruption to data or software (direct or indirect) suffered by you or any claim by third parties made against you.
- This is a license agreement only, and does not allow exclusive possession of any part of the building. No relationship of landlord and tenant shall be deemed to arise from this, and the Contracts (Rights of Third Parties) Act 1999 is expressly excluded.
- Nothing in this agreement is intended to confer any right or benefit on any third party, or any right to enforce a term contained in this agreement
- Each provision of this agreement is severable and distinct from the others. If any becomes illegal, invalid or unenforceable to any extent, it will be deemed not to form part of the agreement. That will not affect any other provision of this agreement
- This agreement will be governed in accordance with English law. Any disputes arising in relation to it will be subject to the exclusive jurisdiction of English courts
- This agreement constitutes the full understanding between you and Market, and supersedes all prior relevant representations, negotiations or understandings
